JSW Cement Ltd announced that it has signed a Securities Purchase Agreement (SPA) on 17 November 2025 with Nuvoco Vistas Corporation Limited, along with co-seller Alpha Alternatives Holdings Pvt Ltd, for the sale of 100% of the securities of Algebra Endeavour Pvt Ltd. The agreement marks the transfer of the entire stake held jointly by JSW Cement and Alpha Alternatives to Nuvoco Vistas.

The company clarified that the divested division does not contribute to JSW Cement’s turnover, net worth, or income, and therefore has no financial impact on the company's previous fiscal results. The transaction, valued at ?1,91,63,01,956, will be completed within 10 days of fulfilling all conditions precedent specified in the SPA.

Nuvoco Vistas Corporation Limited, headquartered at Equinox Business Park in Mumbai, is the sole buyer in the transaction. JSW Cement confirmed that the buyer does not belong to the promoter or promoter group, and the transaction does not qualify as a related-party transaction. The deal will be executed entirely through cash consideration.

The company also noted that the sale is not part of any scheme of arrangement, and regulations related to slump sale or merger disclosures do not apply in this case.
